San Miguel Project, Charcas Mining District, San Luis Potosi. The CDNX has accepted for filing, documentation pertaining to a Letter Agreement dated March 3, 1999, whereby the Company can acquire from Ram Explorations Inc. ('Ram') (beneficially owned by Carl von Einsiedel), a 100% interest in all of Ram's rights to 9 Prospecting Licenses totaling 973,847 hectares known as the Nicholas North properties and 2 Prospecting Licenses totaling 46,720 hectares known as the Conception properties, all located within the Zacatecas and San Luis Potosi States of Mexico. Consideration is the issuance of 2,700,000 shares of the Company based on staking and acquisition costs incurred by Ram. Layfield recently reduced that area to 61,000 ha through running reconnaissance MMI (mobile metal ion) geochemistry on the flanks of buried regional magnetic highs. The retained area, called anomaly E1, is within 15 km of the Charcas Mine and has dimensions of 3 km by 1 km. Drilling is planned in November 2001 after a successful private placement and permits are in place.

Exploration involves mapping and multi-element sampling. Anomalous trace-elements Zn, Ag, Pb, Cu, Fe, As and S correspond with major element anomalies of Ca, Mg, K and Al reflective of hydrothermal activity. Raised CDN$475,000 with private placement - proceeds in part for drilling. Plans to be announced shortly.
